https://verses.ai

VRRSF Buy Under Price: $1or better BEFORE Nasdaq Up listing (expected June 2023) with 50% OVERWEIGHT to your average $$ per holding.

Verses Inc. Buy Under Price AFTER Nasdaq Up listing (VRRS): $4-$5 (depending on split adjusted price)

Target Valuation 2024 (with full rollout of the VRSS Spatial Web software platform and based on recent private and public AI software company valuations January-March 2023): $22.50 (pre-split)

Summary: Because VERSES proprietary software disrupts and creates several industries, ALL of its “parts” need to be included in current valuation: Verses brings an amazingly valuable set of technology and addressable market to retail investors:

1)    World’s FIRST Artificial Intelligence Operating System

2)    The “ChatGPT for Enterprise

3)    2500 Fortune 500 & Global Potential Clients

4)    Protocols for a “New Web”...1,000 X’s bigger

5)    World’s FIRST AI App Store…The “Apple of AI

6)    VRSS’s first Platform Dev Contract $26.5M

7)    Verses Inc. is the ONLY Horizontal AI Pure Play

Key Investment Point: With the @$29 billion valuation of OpenAI via the most recent Microsoft capital investment,

the Verses Technologies proprietary AI/Spatial Web operating system literally has 50-100X+ UPSIDE potential

Most Likely Upside Scenario: VRSS buy out to MegaCap technology company at $5 billion market cap or 50X upside

Sound crazy? If anything, I am being too conservative on the VRSS investment upside at current $120M valuation at $1 a share.

Look at Musk, Bezos, and Gates. Three of the richest men in the world - and arguably some of the smartest - are pouring a big part of their fortunes into artificial intelligence.

In fact, just recently Microsoft reportedly dropped $10 billion to snatch a near 30% piece of OpenAI - the tiny company that created ChatGPT, the artificial intelligence-driven chatbot.

That’s a $29 BILLION post money valuation—which on a market cap basis puts OpenAI into the Fortune 500!

The $10 billion deal, which includes contributions from other venture firms, would put OpenAI's valuation at a whopping $29 billion, the website Semafor reported on March 21. As outlined, the deal would give Microsoft the majority of OpenAI's profits, 75%, until its investment is recouped.

Key Point: for the first time in my professional stock picking life, it is literally not possible to OVER estimate the potential wealth creation power of the Verses applied AI operating systems?

How do I know this?

Here is Bill Gates’ March 23 2023 take on the upside for AI uses and valuations.

The Age of AI has begun

Artificial intelligence is as revolutionary as mobile phones and the Internet.

By Bill Gates

March 21, 2023

In my lifetime, I’ve seen two demonstrations of technology that struck me as revolutionary.

The first time was in 1980, when I was introduced to a graphical user interface—the forerunner of every modern operating system, including Windows. I sat with the person who had shown me the demo, a brilliant programmer named Charles Simonyi, and we immediately started brainstorming about all the things we could do with such a user-friendly approach to computing. Charles eventually joined Microsoft, Windows became the backbone of Microsoft, and the thinking we did after that demo helped set the company’s agenda for the next 15 years.

The second big surprise came just last year. I’d been meeting with the team from OpenAI since 2016 and was impressed by their steady progress. In mid-2022, I was so excited about their work that I gave them a challenge: train an artificial intelligence to pass an Advanced Placement biology exam. Make it capable of answering questions that it hasn’t been specifically trained for. (I picked AP Bio because the test is more than a simple regurgitation of scientific facts—it asks you to think critically about biology.) If you can do that, I said, then you’ll have made a true breakthrough.

I thought the challenge would keep them busy for two or three years. They finished it in just a few months.

In September, when I met with them again, I watched in awe as they asked GPT, their AI model, 60 multiple-choice questions from the AP Bio exam—and it got 59 of them right. Then it wrote outstanding answers to six open-ended questions from the exam. We had an outside expert score the test, and GPT got a 5—the highest possible score, and the equivalent to getting an A or A+ in a college-level biology course.

Once it had aced the test, we asked it a non-scientific question: “What do you say to a father with a sick child?” It wrote a thoughtful answer that was probably better than most of us in the room would have given. The whole experience was stunning.

I knew I had just seen the most important advance in technology since the graphical user interface.

This inspired me to think about all the things that AI can achieve in the next five to 10 years - - - and here is my conclusion:

The development of AI is as fundamental as the creation of the microprocessor, the personal computer, the Internet, and the mobile phone. It will change the way people work, learn, travel, get health care, and communicate with each other. Entire industries will reorient around it. Businesses will distinguish themselves by how well they use it.

Said another way: Google today is worth over $1 Trillion because they make LESS THAN 5% of the Web’s information attainable and convenient.

What’s the value of using the “Holy Grail of AI” to unlock (in real-time) the OTHER 95% of the Web and EVERY physical object, location, and person?

The World Economic Forum is calling AI, "the global growth story of the 21st century."

Ready to see what THE NEXT $Billion AI software company looks like?

The Next Generation of Computing:

The Artificial Intelligence OS

FACT: Each revolution in computing was dominated by an OS (operating system) that streamlined Application Development and Resource Management.

Two massive waves are converging (Artificial Intelligence and Web 3.0 aka The Spatial Web), which will be the BIGGEST Technology Wave we’ve ever seen.

REALLY Key Point: KOSMOS™ has the potential to be SIGNIFICANTLY LARGER than Windows, Apple’s iOS, and Android operating systems… COMBINED!

FACT: The artificial intelligence software market is the FASTEST GROWING software market EVER by all metrics.

It's ALREADY HUGE ($160B… which is the same size as the mobile application market today), and it is expected to grow 100 X’s to $15.7 trillion to $40 trillion by 2030. (Source)

This is 2 X’s as fast and 4 X’s the size of the Web 2.0 (or the Mobile Computing) market.

As you can see from the above graphic, there are many forms of AI, and almost everyone agrees that this is a revolutionary technology.

All the news is talking about these days are OpenAI’s ChatGPT, Google’s Bard, and Alibaba’s new AI APPLICATION as the next big thing in technology.

Did you notice we said “application”?  More on that in just a bit, but let’s dive in further on AI.

When stating Artificial Intelligence is the fastest growing market ever, as proof of this growth, The AI application ChatGPT gained ONE HUNDRED MILLION users in just TWO MONTHS! (Source)

OpenAI’s ChatGPT is an APPLICATION that uses a generative language model that can understand human language and retrieve data from the Surface Web (only the info that is available to the public, which amounts to LESS THAN 5% of the content on the Web.

The other 95% of the Web, called the Deep Web (not to be confused with the Dark Web here), sits behind passwords and firewalls.

Think of ChatGPT as an improved search engine that, instead of delivering web pages for search results, delivers a text summary.

ChatGPT… The “Prodigy of AI”

Technically, Prodigy was using the “Internet,” but look at what the Internet became.

ChatGPT, though highly impressive, simply predicts what word should come next based on statistics. On the other hand, it has no idea if what it’s saying is correct and doesn’t know that it’s saying words at all.

KEY POINT: Think of it as an “autocomplete” for paragraphs instead of words!

The Problems with ChatGPT:

·         Uses AI Technology from TEN years ago

·         Only trained for a SPECIFIC TASK

·         Relies on OUTDATED Data

·         Requires tremendous time, cost, and data to train

·         Becomes OUTDATED as soon as it’s trained

·         Not dynamic, can’t incorporate real-time information

·         Only knows a tiny fraction of human knowledge

·         Can’t access the web, apps, files, devices, databases, etc.

·         Can’t personalize results because it knows nothing about you or your context

ChatGBT is based on generative AI. This form of AI can generate novel content but CAN NOT analyze or act on existing data.

ChatGPT and generative AI, in general, are receiving blowback due to false information, copyright infringement, questionable ethics, bias etc.  Investors today may not be aware, so it could work for a while but may need to consider adjusting it later.

However, Google just invested $400M at a rumored $5B valuation in an application like ChatGPT rival, in a pre-revenue, pre-launch AI company called Anthropic

Can you see how this space is exploding?... Anthropic is just an AI APPLICATION.

"AI is at an inflection point, setting up for broad adoption reaching into every industry” said Jensen Huang, founder, and CEO of NVIDIA.

Over the course of the next 10 years, I believe we're going to accelerate AI by another million times, Huang

What Is The Holy Grail of AI?... Active Inference Not CHAT!

AI is how a computer can detect patterns that we humans can’t see. It can make sense from a large amount of dynamic, unstructured, and completely random data.

Here’s the problem with current AI.  It does not understand what the data is and cannot adapt. It IS sort of ARTIFICIALLY Intelligent. But not TRULY intelligent.

Comparatively, the NEXT generation of AI can Sense, Understand, Act, and React to the data and environment it sees. It will understand and be curious about what it’s doing and why it’s doing it. Not only that, it must be able to share what it learns and how it learned.

It actively repeats this process of learning, planning, and acting, constantly seeking to understand the results of its action AND adapting when the outcomes are not satisfactory.

For humans, this is easy. AI, however, must evolve toward these capabilities. The result would be the world’s first true artificial intelligence.

This is called “Active Inference” and is considered the Holy Grail of AI because it emulates the dynamic, real-time, generalizable abilities of human intelligence in software and is potentially the key to unlocking AGI - Artificial General Intelligence.

So, just who discovered this concept? None other than Dr. Karl Friston.

He has been called the “Einstein of AI” and is VERSES Chief Scientist.  Consider the following:

This NEW generation of AI can take in data, understand and make real-time decisions like a human… FAST.

Active Inference learns in real-time.

Instead of relying on statistics/data, it understands the RELATIONSHIP of the data.

Active Inference mathematically describes how the human brain operates and adds another crucial component, reasoning.  It can sense/understand the environment/data and react using perception and beliefs. As a result, it can use what it learns in one domain and apply it to another creatively, as humans can.

In short, VERSES has taken that ANALOG activity and digitized it.

VERSES AI scientists and computer engineers have developed an operating system (and a few) applications that mimic the numerous “if-then” patterns the brain makes.

And YES, in case readers are wondering, this computing solution IS PROPRIETARY, and patents are being worked on for imminent filing… by the former head of IP at SAP.

Here is a video that simplifies how Active Inference works https://youtu.be/_edAL3UwyN4

In addition, here’s the company’s White Paper on Active Inference

Those two aforementioned Silicon Valley veterans and Dr. Karl Friston have combined these various scientific and technological breakthroughs into KOSMOS, the world’s FIRST Operating System for Artificial Intelligence.

VERSES KOSM REGenerative AI verses ChatGPT Generative AI

KOSMOS™… The World’s FIRST Artificial Intelligence OS

KOSMOS™ is a cloud-based platform that allows people and organizations to Build, Run, and Sell a new class of AI (better, cheaper, and faster) as in the FIRST “Intelligence as a Service.”

KEY KEY POINT: The Beta version of KOSMOS™ is expected to launch in June 2023—WHICH IS WHY YOU NEED TO BE IN VRSSF STOCK TODAY!

It’s very important to note here, OpenAI’s ChatGPT and Google’s Bard are APPLICATION(S) that rely on outdated AI technology.

On the flip side, KOSMOS™ is an OPERATING SYSTEM incorporating the “holy grail of AI” that can be embedded on computing devices or in the cloud. It will be used to CREATE AI APPLICATIONS, and some big hitters have taken notice!

B

efore drilling down into the company and its disruptive/synergistic technologies any further, let’s take a look at some other potential competition, along with noting some key differences.

VERSES’ General Information Agent (GIA) VS c3.ai

Readers may have heard about C3 AI ($AI valued at over $2B), one of the hottest artificial intelligence plays out there, but there is notable differentiation when comparing it to KOSMOS.

First, when looking at their architecture: KOSMOS is built on an active inference framework that allows for real-time adaptation and learning from new data, while C3 AI uses a traditional machine learning approach that requires extensive training on large datasets.

Second, KOSMOS is an open platform that allows for integrating third-party tools and services, while C3 AI is a closed platform that limits integration with other tools and services.

These two primary differentiators, along with others, allow KOSMOS to focus on developing intelligent agents that can understand and automate complex workflows and processes!  While on the other hand, C3 AI is focused on predictive analytics and machine learning for enterprise applications.

This is very key to note here: Not only that but KOSMOS is built around the concept of knowledge graphs that enable intelligent agents to reason about complex relationships between data, while C3 AI primarily relies on traditional data models for analysis.

When it comes to real-time processes, KOSMOS agents are designed to learn and adapt in real time based on new data and changing situations, while C3 AI models typically require significant retraining to adapt to new situations.

The bottom line here is that KOSMOS is focused on creating an open, flexible platform for developing intelligent agents that can reason about complex relationships and workflows!  In stark contrast, C3 AI is focused on predictive analytics and machine learning for enterprise applications.

Before leaving potential competitors, we must mention another hot AI company named Hugging Face. It’s primarily a community portal for making and sharing AI models focused on computer vision and natural language processing.

However, in the final analysis here, KOSMOS can enable Hugging Face models and C3 AI integrations to be made available (and even interoperable) for users in the KOSMOS Exchange, which will be elaborated on in much greater detail later in this report.

Now let’s get back to some of those big hitters and investigate even further this compelling company and its story.

FACT: VERSES Leads The Next Era Of Computing

One very big hitter is Deloitte, the company that gets paid BILLIONS to help Fortune 500 companies discover and utilize what the next big thing is.  They wrote an article called “The Next Era of Computing” (Source).

In The Spatial Web and Web 3.0, "the next era of computing," Deloitte outlines how emerging technologies like AI, IoT, XR, Blockchain, and 5G can fit into a new cohesive

computing stack that works in concert to augment and optimize, along with unifying systems into ecosystems where data and context can flow seamlessly and securely.

In it, they outline the key ENABLING technologies (i.e.…, picks and shovels) for the “New Internet,” or Web 3.0. (We will outline how VERSES plays the KEY ROLE in this New Internet in a bit)

So why do we mention this Deloitte article?  Because the VERSES CEO and their technology were featured in the article!

Guess what happened next and who called… and who they’re working with?

VERSES seeks customers with a minimum of approximately US$100M annual revenue, ten (10) locations, and 500 potential end users, and targets a minimum three (3) year agreement (Post POC or Pilot) totaling between US$5-10M. (Source)

Incidentally, Tech Icon Jay Samit, a former independent Vice Chairman of Deloitte, joined VERSES Technologies Inc.'s Board of Directors and now serves as their Chairman of the Board.  Consider his position when he states the following:

VERSES Has So Far Created 4 AI Applications

1.    WAYFINDER Navigation Agent… The “Waze for the Warehouse

2.    DataLens Smart Analysis Agent... “The ChatGPT for the Deep Web

3.    Guardion Regulatory Agent… AI autonomous vehicles

4.    GIA General Intelligent Agent

VERSES First Pilot Turns Into A $26M Contract

A couple of years ago, a $100M third-party logistics provider asked VERSES if their AI OS could improve the productivity of their “pickers” (people that pick items in the warehouse that need to be shipped.)

First, they had to create a digital twin of the company’s warehouse to see or “map out” the physical location and inventory.

—----------------------------------Digital Twin Explanation--------------------------------

Before going any further, we need to explain what a “digital twin” is and why this New Internet will be 1,000 X’s bigger than the Web today.

A digital twin is a 3D digital replica of a physical location or object. They aren’t new. Think of it this way, it’s a blueprint, but digital, and can be seen from every angle.

Before a product, building, or city is built, a 3D digital replica is made so the engineers can see how parts will fit, stress test, etc.…

Every time a digital twin is made of a physical object or location and then placed on the Web, the physical world is being “digitized”.

That physical object or location now has a digital location or “address”.

In other words, a digital twin, once connected to the Web, is like a “web page for a physical object or location.”

Here’s a business example of AI and a digital twin.

·         A Google Map is a digital twin of a location.

·         Waze is a smartphone application that uses AI with Google Maps and real-time data from other Waze users to provide the most efficient traveling route.

·         An Uber driver can use Waze to run their business. They do not need to know the town to be an Uber driver.

·         Once a passenger (customer) gets out of the car, the deal/contract is done (more on that later)

Side Note: Google paid $1.3B for Waze 10 years ago. This was ONE APP that incorporated AI on ONE of their digital twins (Maps).

There are 56B web pages, but every physical object and location will have a digital twin. There will be TRILLIONS of digital twins.

With that being said, VERSES is a member of the Digital Twin Consortium, an international organization based in North America dedicated to creating collaborative partnerships between digital twin users and experts working in industry, government, academia, along with the tech sector.

See where this is going from just ONE digital twin and AI?

—------------------------------------------------------------------------

Next, VERSES built their first AI APPLICATION, WAYFINDER, that ran on top of the KOSMOS™ AI OPERATING SYSTEM.

As a result, they created the “Waze for the Warehouse”.

KEY POINT: It reduced the time it took an average worker in a 100,000-square-foot facility to find 20 items from 10 minutes to under 3.

Just like an Uber driver can rely on Waze (AI) and Google Maps (digital twin) to navigate efficiently without ever knowing the town, a warehouse worker can find items in a fraction of the time.

WAYFINDER solves several problems for just ONE part of the supply chain:

·         Improves warehouse productivity between 35 - 50%

·         Training a worker takes TWO days, not TWO months

·         On par with robotics for a FRACTION of the cost

WAYFINDER can be applied to any link in the supply chain (ports, shipping, retail, etc…)

Here’s how it saves so much time:

Not only that, but they also optimized their warehouse so the faster-moving products would be closer to the shipping location.

The addressable market for just this first application is over 90% of warehouses operating today… or a $22B market.

So, just how valuable was this technology solution to this one company?

This $100M revenue company signed a $26M contract with VERSUS. That development alone should tell you how valuable KOSM

The VERSES management team could have gone after one company at a time.  Instead,

they partnered with Blue Yonder, the unquestioned biggest fish in the warehouse management services pond.

The world runs on its supply chain cloud.

Blue Yonder will now provide WAYFINDER (and possibly other AI solutions) to their 3,000 clients and the world’s largest retailers in 78 countries.

With this partnership, warehouses and distribution centers will be equipped with VERSES adaptive intelligence and Spatial Twin management applications for a unified real-time world model.  This will enable clients to better simulate workflow optimization and verifiable traceability, along with intelligent automation.

The company has a very conservative goal of capturing 10% - 30% of Blue Yonder’s clients with an estimated revenue run rate of $350M - $1B within three years.

The implementation process is expected to take 100 days and should be completed in April ‘23. We anticipate hearing orders after that.

“This partnership is more than a technical integration; it sets a new standard for the market today and into the future.”...

Matt Balthasar, Director of Edge Technology at Blue Yonder

This is just ONE application, with ONE reseller that runs on the KOSMOS™ OPERATING SYSTEM.

We should mention that VERSES is also in talks with the next 3 largest players as well.

The company expects to sign the #2 in the Spring and the other two in April/May

With that, this is an example of how WAYFINDER optimizes a warehouse.

This same AI can also make sense of and adapt a company’s related but heretofore, unstructured data as well.

Do you know how every web page needs to be structured in protocols so it can be read (HTML) by every computer and found by every browser (HTTP)?

Well, hang on to that fact because there’s a doozy coming up.

The BlueYonder partnership is ALREADY PAYING off.

A couple of months later, they announced a partnership with SVT Robotics™, whose SOFTBOT® Platform and partner ecosystem streamline the integration and deployment of robotics, IoT, and other industrial applications.

SVT’s integration with the VERSES network operating system, KOSMOS, is expected to accelerate deployments of AI-powered robots into warehouses and distribution centers.

Gartner® named SVT in Hype Cycle for Supply Chain Execution Technologies.

Now, a fascinating story so far that readers would most likely agree, but let’s start putting the pieces together.

First, they applied Active Inference AI to a digital twin (warehouse) thus proving the concept, and then applied this technology to robotics, IoT and other industrial applications.  Remember those 100B devices mentioned earlier?

Well, then they added another device AND TWO applications.  Think of the potential here.  But there’s much more to this narrative with even more heavy hitters!

Drone Guardion… Partnership with Microsoft

VERSES was awarded a grant from the European Commission to develop tools to

express EU policies in a machine readable/executable format to commission autonomous drone regulation.

This initiative, which spans five cities over three years, seeks to enable use cases such as last-mile delivery, taxi drones, emergency response, security and inspection.

In securing this grant, they had to understand different languages, text from laws, and adapt to the physical environment relying on digital twins.

They partnered with none other than Microsoft, and beat EIGHTY companies to win this deal!

This simply gives readers another idea and example of how encompassing their technology is.

With this project, they had to model unstructured data/text (privacy laws), in different languages, embed it in an autonomous vehicle (drone), and enable the drone to react to these changing laws!  But it all goes much deeper.

When analyzing this project even deeper and comparing it to other data located on the Deep Web, which is discussed a little later, readers and investors applying a little vision can land on very compelling potential.

If privacy laws were part of the equation here in landing this contract with Microsoft, then who’s to say if perhaps Medical and Legal information on the Deep Web is out of the question?

Food for thought, as these are TWO massive verticals/opportunities for VERSES in their own right!

Modeling all of that unstructured data leads us to how they created their next MULTI-MULTI BILLION DOLLAR AI app, DataLens.

DataLens is an AI “search and analyze engine” for your business

Here is the doozy we mentioned earlier.

Yes, while ChatGPT is getting a ton of publicity for its efficiency in providing “better search results” for a tiny portion of the Web…THE REAL VALUE for any company, is finding patterns in its UNSTRUCTURED databases and making decisions from that.

Readers might have already guessed VERSES has a solution for that too.

They’ve created a breakthrough way to find patterns in unstructured data. It’s called Data Modeling Language.

Instead of finding the most efficient way to find PHYSICAL items in its warehouse using WAYFINDERKOSMOS™ technology can find the most efficient way to find DIGITAL items in its unstructured data… FAST

We’re not talking weeks or months to make sense of this data… we’re talking MINUTES!

This application can be layered ON TOP of a company’s data, and in minutes it can provide detailed analytics and be able to SEARCH for any type of statistic or conclusion.

IMPORTANT POINT: VERSES does NOT store a company’s data, they just provide the analytics for it.

DataLens simply represents the “Holy Grail of smart enterprise analytics”.

In marketing DataLens, the logic would be to get Databricks and/or Snowflake to be a reseller of this complementary and synergistic technology.  It would sit on top of Databricks or Snowflake and maximize their solutions.

Note: Industry giants Accenture and Deloitte are in the company’s Integrator/Reseller Pipeline… and the highly connected Jay Samit/Deloitte and Michael Wadden/Accenture with their previous associations are on the company’s BOD and Executive Management team respectively.

It’s no surprise, then, the company is also in talks with many other major resellers and integrators.

Folks, a reseller agreement with either one could be worth 10 figures, yes that’s $Billions!

Think of DataLens as the “Google/ChatGPT for Unstructured Data”... or 95% of the Web.

If VERSES can offer “true” AI for 95% of the content on the Web, and Microsoft invested $10B into Open AI/ChatGPT for just 5% of the Internet giving it a $29B valuation, what kind of value and market cap could they command?

Furthermore, Microsoft (their partner) is incorporating ChatGPT into their search engine Bing.

Once again—after reading ALL the above,  what should this $100M company be valued at TODAY?!?  While pondering that, consider this as well.

According to the company, DataLens is becoming “a very attractive solution to the largest companies in the world.”

The bottom line here is making sense of unstructured data has INFINITE possibilities!  And with that, the hits just keep on coming:

As proof, one of the largest cold storage facility providers with 400 facilities contacted VERSES. This company spends $1B on energy costs, and they wanted VERSES to make sense of their data and create a solution that can reduce massive expenditure by just 10%, or $100M.

How much could that be worth one might again ask?

This company gave VERSES its unstructured data to analyze.

Within MINUTES it compiled a summary of costs per pallet, per item and optimized the facility to reduce their energy costs by at least 10%... further proof of the tiny microcap’s disruptive technology.

Not to mention, they also presented 3D digital twins showing data for ALL of the items and costs in the facility.

Are you starting to see how VERSES could turn those 7-8 figure contracts with Blue Yonder clients into 8-9 figure contracts?

GIA General Intelligent Agent

The field of AI is experiencing exciting innovations, but even state-of-the-art models are still narrowly-focused tools based on public datasets. We believe GIA can do better, not just by learning about the world, but by learning about us and our lives and providing us with a smarter, safer, and more natural personal computing experience,” said Gabriel René.

GIA, a General Intelligent Agent, is a next-generation personal AI assistant that is designed to learn about its users in order to better organize, manage, and optimize their digital life.

GIA, the smart interface to the digital world, is a voice and text-based digital assistant that operates under a user’s direction and on their behalf, searching, filtering, and summarizing information across multiple data sources.

GIA is poised to become the first intelligent all-in-one solution for anyone seeking a smarter way to organize, manage, and automate their personal and professional activities.

And that’s with just the applications that the VERSES team created.

In a true stroke of visionary genius, very soon, they will be launching the KOSMOS™ SDK (software developer kit).

How’s that for one-upmanship?

If You Let Them Build It…They Will Come

VERSES removes the barrier to entry for building AI Apps.

AI development is VERY expensive, even though there are open-source programs available.

In reality today, It takes about TWO years to train a model by giving it a large amount of data before you can see acceptable results.

Imagine the possibilities if developers could build an AI app using the KOSMOS™ developer kit (that includes the “holy grail of AI”)... without the massive cost and time?

Taking it one step further, for ANY one of those 100B devices?

The KOSMOS™ SDK is slated to roll out in beta waves to select developers this year in Q3, with an expected public launch in Q4.

Which will lead to…….

The World’s FIRST Apple App Store of AI…but MORE

Think of this as an “Apple App Store for artificial intelligence,” but instead of creating apps for just ONE type of computing device (smartphone), it can enable AI applications for 100B devices (robot, drone, physical locations, cameras, street lights, wearables, cars, planes, machines, etc…)

We call it the Apple App Store for AI because that is how many would understand the concept…when it fact, this will really be more like an “Exchange”.

We believe there are too many single-purpose AI apps leading to over complexity.

ChatGPT for text, Dall-E for images, Whisper for speech recognition, etc.

You don’t use a different search engine for sports, news, etc so with the next generation of AI (Active Inference) you won’t need to use a different application for each SEARCH & ANALYZE function.

KOSMOS is a single interface that obfuscates that complexity by synthesizing data across multiple sources.

Point being, it's conceivable that apps may be dead.  Thus the switch from “App Store to an Exchange” containing templates, libraries, configurations, datasets, connector plugins etc, but not "bundled" apps.

Even so, Apple generates $60B a year from applications OTHER people build for approximately 1.5B devices (smartphone).

Critically important to note here, developers can create the AI application with the Dev Kit (SDK) and THEN place them into the AI App Store. Unlike building apps ON iOS or Android, one doesn't build apps ON KOSMOS.  It's more like a series of services like, for example, Mapbox whose API is called by Yelp, but Yelp isn't built ON Mapbox.

All of those apps will run on the KOSMOS™ Platform… and better yet, VERSES gets a cut of revenue for every app… Imagine, BILLIONS of microtransactions!

The App Exchange is expected in Q1 ‘24.

There is nothing like it currently in the space, and VERSES is pressing its first mover advantage to dominate the sector. How so?

“The NEW Web…1,000 X’s Bigger…” it will dwarf the Internet

This is where it gets mind boggling

Have you ever wondered why there’s no competition for the Internet?  Simply because it has a standard.

There are 3 digital “standards” or protocols for the current World Wide Web

·         A domain for the web page (address)

·         How the web page needs to be formatted (HTML)

·         How to find that web page (HTTP)

Everybody knows HTML, or Hypertext Markup Language, is a markup language for the web that defines the structure of web pages.  It is one of the most basic building blocks of every website and data on the Web.

Adding to that, browsers use the hypertext transfer protocol (HTTP) to find a web PAGE.

The web PAGE sits on a domain name, which is really just a numerical address of the server that hosts the website.

For example: the domain Nike.com is 146.197.184.4

ICANN is the agency that manages the registration activities for web domain names.

Today’s THIRTY year old web protocols were designed for interconnecting PAGES on computers, NOT people, places, or things.

The “New Web” or Web 3.0, will enable ANY THING or ANY LOCATION to have data from the Web linked to it.

Today Web domains and URLS do not provide any reference to where something is PHYSICALLY located or the changes that occurred. Google can tell you where to find digital content on the Web, but it cannot tell you where a physical object is.

As a result, the current Web protocols WILL NOT work because they do not include the other TWO dimensions, location, or time.

Key Point: The “New Internet”/Web 3.0, or the Spatial Web, is when the World becomes the Web.

Nike has a digital address (Nike.com), but will soon have another address for ALL of their warehouses, manufacturing facilities, shoe machines, training centers, executive offices, retail centers, etc… Readers can see the picture much clearer with that perspective.

If one looks closely at the next graphic, you’ll notice a new protocol.

VERSES Technologies created a new “modeling language” that instead of marking up information on web pages and linking data to those pages “ie., the web/html”, they figured out how to model and link ANY sort of object, person, location, or activity in multi-dimensional space.

HTTP is the current protocol to locate a Web address.

VERSES’ HSTP is the protocol for Web 3.0 and can identify where real-world objects or locations are on the Web AND in the real world!

It allows various parties the ability to agree on who, what, and where anything is in space, who owns it/has access to it, and what can be done with it

HTML is the protocol that defines the structure of web pages. It was a massive breakthrough in the early ’90s which gave us the WWW (World Wide Web).

VERSES’ HSML is A Spatial Modeling Language with Spatial Contracts that describes how to search, discover, view, track, interact, transact and transfer assets between locations, along with users in virtual and real-world space.

These protocols are even more disruptive and will give us Web 3.0.

What about physical world domains?  Is there a new protocol for that too?

Well, we will get to domains in just a minute.

This is the NEW protocol for Web 3.0.

(Source: VERSES)

HTML lets you program a web page, HSML lets you program a web space”...Dan Mapes of VERSES

The IEEE sets the standards for computing, with Bluetooth and Wifi being examples. Every chip inside a laptop, smartphone, and camera, etc… has to abide by the standard to communicate.

Key Point: VERSES licensed the IP, White Paper, and documentation to the IEEE for HTML and HSTP, announcing this as a “unique and historic opportunity to participate in what the IEEE declared a “public imperative” (a designation for civil infrastructure like nuclear energy and voting machines).

Notice who’s the Chair of this group?

The Next REAL Land Grab

A domain name is an identifier in the form of an alpha-numerical phrase representing an address. Do you remember in the early days of the Internet when people were buying website names (digital domains) like travel.com, Sex.com, etc…?

In like manner, as the world is digitized, spatial property or SPATIAL DOMAINS could become the most valuable property in history. A Spatial Domain, however, points to a 3D volumetric spatial address of coordinates that can be registered across Distributed Ledgers.

Think of places like the Rome Coliseum, Madison Square Garden, Times Square, Suite #404 at 1400 West 52nd Street NY, NY… they will ALL have spatial domains… see where this is going?

CEO Gabriel Rene and Dan Mapes have been planning ALL PARTS of the Spatial Web for almost FIVE years. And guess what entity will offer the Domain Registry for the Physical/Spatial World?

Take a looksie.

Similar to ICANN, which manages the registration activities for web domain names, a Spatial Domain Registry enables people and organizations to register Spatial Domain names and have them validated.

To accommodate duplicate names in the physical world, the Spatial Domain registry will also contain its physical address, including country, state, and city location and other profile information.

NOTE: It is worth mentioning that the CFO of VERSES was the CFO of ICANN.

Alright then, it’s that time of the report to kinda put a pretty bow on the package now.

Web 1.0 uses a browser, whereas Web 2.0 has applications and swipe/ touchscreen/speech.  The New Net, or Web 3.0, will need a “Universal Interface”.

To that end, a spatial browser enables secure interoperable experiences across devices, operating systems, and locations across physical domains, along with virtual domains.   For example, readers can see what VERSES has in mind for this next-generation browser HERE

Management Team

Want to see the future?

Co-Founders of VERSES, Gabriel Rene and Dan Mapes, collaborated on and wrote the best-selling book Spatial Web.

Share Structure (as of February 16, 2023)

There are approximately 56M shares in the float. We would guesstimate that less than 10M shares are considered “loosely held”.

So there you have it in spades, and when taking all the above into consideration, ponder this as well:

$100M Microcap to $1T?

When was the last time you saw a $100M stock trade with a $1T valuation?

NEVER… know why?

In order for a company to get the coveted $1T valuation, they need to be generating BILLIONS in revenue. When a microcap starts to generate that level of revenue, it usually gets acquired.

On the other hand, we’ve seen NUMEROUS private companies with disruptive AI technology get early funding at billion (or multi-billion dollar) valuations.

Bottom line: retail investosr NEVER gets access to these companies at the microcap valuation.

VERSES offers a VERY UNIQUE opportunity to invest in the AI boom, with one of the most impressive management teams we’ve ever seen, a developed key infrastructure, established next-generation protocols, Fortune 100 clients, generating revenue…and at a $100m valuation.

Could this be the FIRST $100M microcap that turns into a $1T company?

I don’t know, but if ChatGBT is worth $29 billion to Microsoft (with no inference intelligence or AI operating system), no one can really imagine with Verses Technologies is actually worth by 2025 with multiple proprietary AI based operating systems licensed to tens of thousands of global companies.

Again—Here is Bill Gates’ recent insight on how important AI and personal agents you command to analyze ANYTHING in real time with verbal commands really captures the VRSS opportunity:

“ The development of AI is as fundamental as the creation of the microprocessor, the personal computer, the Internet, and the mobile phone. It will change the way people work, learn, travel, get health care, and communicate with each other. Entire industries will reorient around it. Businesses will distinguish themselves by how well they use it."

AI and Inference Based AI Bring $trillions in Major Blue and White Collar Productivity Enhancement

Your may have recently read that the US and EU basically have 2 jobs available for every one person looking for work or new job. With 10,000 Baby Boomers turning 65 everyday until 2030 and 5,000 turning 70, the seriously below average birth rates and immigration rates give businesses of all sizes only one option—to employ 20-40% productivity boost for white and blue collar jobs.

Here is Mr. Gates again “Although humans are still better than GPT at a lot of things, there are many jobs where these capabilities are not used much. For example, many of the tasks done by a person in sales (digital or phone), service, or document handling (like payables, accounting, or insurance claim disputes) require decision-making but not the ability to learn continuously.

Corporations have training programs for these activities and in most cases, they have a lot of examples of good and bad work. Humans are trained using these data sets, and soon these data sets will also be used to train the AIs that will empower people to do this work more efficiently.

As computing power gets cheaper, GPT’s ability to express ideas will increasingly be like having a white-collar worker available to help you with various tasks. Microsoft describes this as having a co-pilot. Fully incorporated into products like Office, AI will enhance your work—for example by helping with writing emails and managing your inbox.

Eventually your main way of controlling a computer will no longer be pointing and clicking or tapping on menus and dialogue boxes. Instead, you’ll be able to write a request in plain English. (And not just English—AIs will understand languages from around the world. In India earlier this year, I met with developers who are working on AIs that will understand many of the languages spoken there.)

In addition, advances in AI will enable the creation of a personal agent (which Verses Inc. ALREADY has!).  Think of it as a digital personal assistant: It will see your latest emails, know about the meetings you attend, read what you read, and read the things you don’t want to bother with. This will both improve your work on the tasks you want to do and free you from the ones you don’t want to do.

In short: Advances in AI will soon enable the creation of a personal digital agent with mind boggling personal productivity gains! Soon You’ll be able to use natural language to have this agent help you with scheduling, communications, and e-commerce, and it will work across all your devices.

Because of the cost of training the models and running the computations, creating a personal agent is not feasible yet, but thanks to the recent advances in AI, it is now a realistic goal (my guess is Bill Gates is going to learn about Verses AI capability VERY soon—a little birdy tells me!).

More Gates. “Company-wide agents will empower employees in new ways. An agent that understands a particular company will be available for its employees to consult directly and should be part of every meeting so it can answer questions. It can be told to be passive or encouraged to speak up if it has some insight. It will need access to the sales, support, finance, product schedules, and text related to the company. It should read news related to the industry the company is in. I believe that the result will be that employees will become more productive."

Final Point: Verses Technologies has  LITERALLY has invented the operating system required to create millions of these "Agents" has already brought Bill Gates' vision of global productivity explosion to life TODAY. The Verses operating system though AI network has improved the productivity of white-collar knowledge workers by 25%--right now--in actual test cases with $billion companies.

As Bill Gates has shared with us, an AI operating system is as powerful a change agent as MS-DOS or Apples Graphical Interface.  What he does not know is that the global giant technology standards group IEEE has been testing this amazing MEGA productivity growth system in every major country in the world--and is a few quarters away from certifying all that I have share above and more--and will make this "Spatial Web" or Web 3.0 system available worldwide!

Action to Take: This highly unique transformational technology company opportunity in front of you right now reminds me of finding MicroStrategy digital platform management system and meeting Michael Saylor in 1998 during the crazy days of the DotCom era. I was a VP Group Publisher for Phillips Publishing and I had volunteered to apply my technology research on the Web to help upgrade our non-digital back office systems for our million+ subscribers.

Long story short--$MSTR had the only viable digital platform for our needs and in researching the company, I discovered it only has a $200 million market cap at the time. Microstrategy was the FIRST stock recommendation I made for my ChangeWave Research newsletter service (like VRSSY today with Transformity Investor).

Many of my fellow colleagues from Phillips (who were early subscribers to ChangeWave Investing) joined me buying Microstrategy on the June 11, 1998 $12 IPO and we could not imagine what happened next.

Literally less than 2 years later, my 1,000 shares of $MSTR were worth $350,000 and my long-term call options were worth $150k (a few of my subscribers retired from PPI in there mid 40’s with 10,000 or more shares!).

I called Michael and thanked him for all his team did for us shareholders and he replied “Thank YOU Toby—you were literally the first non-underwriter research analyst who followed us and brought tens of thousands of shareholders to us!”

TODAY I HAVE THE VERY SAME FEELING—that before VRSSF uplisting to the Nasdaq and important business developments this summer and into 2024—I am going to help THOUSANDS of my subscribers hit the next motherload on technology wealth.

My Advice: Buy enough $VRRSF shares to NOT REGRET being too timid over the next 18-24 months.
